Overview

Corporate Counsel, Commercial Contracts and Intellectual Property is responsible for a broad array of commercial, privacy, compliance, litigation, intellectual property, and general legal matters. This position will work closely with internal stakeholders, including publishing and other business units, privacy, cybersecurity, procurement, and risk management teams, as well as external legal counsel. Corporate Counsel will negotiate agreements, draft templates, and advise on corporate compliance related to contracts generally, and support the management of the intellectual property portfolio by providing legal advice on contracts, licensing, copyrights, trademarks etc. Corporate Counsel will also undertake special projects and investigations, support legal, corporate governance and compliance program initiatives, and perform legal research as necessary.

Responsibilities

Commercial

  • Draft, review, revise, and negotiate a high volume of varied and complex legal documents in numerous areas of commercial law, including master service agreements, SaaS agreements, vendor agreements, non-disclosure agreements, and other commercial transactions.
  • Serve as liaison between Legal department and certain business clients by acting as primary contact for assigned business units and related transactions.

Intellectual Property

  • Work with company management and outside legal counsel to support, formulate and implement multi-jurisdiction intellectual property protection strategies.

General Legal

  • Provide legal advice and counsel to executives, directors of departments, and other business clients, using discretion and exercising independent judgment in numerous areas of contract and commercial law, intellectual property, general corporate transactions, and adversarial matters.
  • Research and analyze various legal issues presented by clients and/or pertinent to business operations or matters and present results to clients and/or develop and recommend company policies and positions on same.
  • Assist with strategic growth initiatives, including due diligence, negotiation, and closing activities.
  • Coordinate and assist with privacy-related compliance activities, risk assessment, incident response, and related requirements.
  • Assist with managing and resolving lawsuits, arbitrations, and pre-litigation disputes.

Other

  • Assist in managing provision of legal services by outside counsel and other legal service providers as related to assigned business units and/or matters.
  • Ensure accurate billing by outside counsel on a project-specific basis.
  • Various other tasks, as assigned.

Qualifications

Required Field of Study:

  • Law degree from an accredited college or university

Minimum Years of Experience Required:

  • Minimum of 5 years of relevant experience in a similar role or capacity, with a demonstrated record of success.

Description of Minimum Experience Required:

  • Active license to practice law in at least one U.S. jurisdiction
  • Minimum 5 years of licensed legal experience practicing transactional law in a regional or national law firm and/or as corporate counsel
  • Experience in intellectual property portfolio management

Preferred Field of Study:

  • Law degree from an accredited college or university

Preferred Years of Experience:

  • 7+ years of relevant experience in a similar role or capacity, with a demonstrated record of success.

Description of Preferred Experience:

  • Substantive experience with and knowledge of body of laws and regulations related to data privacy and security
  • Experience with event sponsorship, venue and media contracts

Certification and Licensing Requirements Required:

  • License to practice law in at least one U.S. jurisdiction

Certification and Licensing Requirements Preferred:

  • CIPP/US

Competencies/Skills Required:

  • Proven ability to drive contracts to execution, working effectively with legal counsel and internal stakeholders. Demonstrated experience in commercial contracting or general corporate transactions, including drafting, reviewing, negotiating, and advising business partners.
  • Strong stakeholder management abilities, practical business acumen, ability able to drive to positive outcomes in a collaborative, inclusive manner.
  • High integrity, professionalism, and commitment to ethical practices, building trust with colleagues and external stakeholders.
  • Excellent written and verbal communication skills, with the ability to convey complex legal concepts clearly and maintain effective professional relationships.
  • Strategic thinker with the ability to balance long-term vision with short-term needs.
  • Self-motivated, results-oriented, and able to manage multiple projects with minimal supervision.
  • Excellent judgment, discretion, and risk assessment skills.
  • Proficiency in Office 365 applications, including SharePoint, Word, Excel, and PowerPoint.

Occasional travel may be required to attend company-sponsored events, meetings, or all-hands gatherings.

Posted Salary Range

USD $128,177.00 - USD $192,266.00 /Yr.
