Overview

The Corporate Counsel supports a wide range of commercial contracting and related legal matters across the enterprise. This role will focus primarily on reviewing, drafting, and negotiating contracts, while also assisting with contract templates, contract processes, and the administration of the organization’s contract lifecycle management (CLM) system. The Corporate Counsel will work closely with the Assistant General Counsel, Contract Specialist, and internal business partners to provide timely, practical legal support and help improve contracting efficiency across the organization.

Responsibilities

Contract Review and Legal Support

  • Draft, review, revise, and negotiate a high volume of varied legal documents in numerous areas of commercial law, including master service agreements, SaaS agreements, vendor agreements, non-disclosure agreements, and other commercial transactions.
  • Serve as primary liaison between Legal department and internal business units for contract matters.
  • Advise internal stakeholders on standard contract terms, legal issues, and approval requirements.
  • Partner with senior legal team members on complex or high-risk matters.

Templates and Contract Processes

  • Develop, document, and maintain contract-related processes, including standard clauses, policies, playbooks, workflows, and lifecycle management systems.
  • Identify and implement tools, technologies, and processes to enhance efficiency and effectiveness in contract management.
  • Support organization’s use and the legal department administration and ongoing improvement of ISACA’s CLM system.
  • Maintain contract records, templates, workflows, and data within the CLM platform.

General Legal

  • Conduct legal research, policy review, and other legal department projects as assigned.
  • Assist with strategic growth initiatives, including due diligence, negotiation, and closing activities as assigned.
  • Support privacy-related compliance activities, risk assessment, incident response, and related requirements.

Qualifications

Minimum Level of Education Required

  • Juris Doctor (JD) from an accredited law school.
  • Active bar membership in good standing in at least one U.S. jurisdiction.

Minimum Years of Experience Required

  • 5+ years of relevant law firm or in-house experience.

Description of Minimum Experience Required

  • Demonstrated experience in commercial contracting or general corporate transactions, including drafting, reviewing, negotiating, and advising business partners.
  • Experience developing or revising contract templates and standard legal language.
  • Strong understanding of commercial, technology, and vendor contracting issues.
  • Familiarity with SaaS, privacy, cybersecurity, and data processing terms in commercial contracts.
  • Experience with contract workflow tools, CLM platforms, or legal operations systems.
  • Interest in process improvement and scalable legal service delivery.
  • Experience collaborating with procurement, finance, IT, and compliance teams.

Preferred Years of Experience

  • 8+ years of relevant law firm or in-house experience.

Certification and Licensing Requirements:

  • License to practice law in at least one U.S. jurisdiction

  • Proficiency in Office 365 applications, including SharePoint, Word, Excel, and PowerPoint.

Periodic onsite presence may be required with occasional travel required to attend company-sponsored events, meetings, all-hands gatherings or other position required meetings.

Posted Salary Range

USD $113,503.00 - USD $170,309.00 /Yr.
